U.S. K-12 terms of service

These terms are an agreement between SuperSchool Inc. and the educator, school, district, or other K-12 educational organization that accepts them. We call that person or organization the Customer.
If SuperSchool and a school or district sign a separate agreement, that agreement controls where it conflicts with these terms.
1. Eligibility
The service is available to verified adult educators and education professionals in the United States. You must be at least 18 years old and use the service for K-12 educational purposes.
The service is not intended for direct use by students or children. Students may not create accounts or use an educator's account.
2. Authority to accept these terms and provide data
If you accept these terms for a school or district, you represent that you are authorized to bind that organization. If you are not authorized to bind it, these terms apply to you as an individual educator and do not bind your school.
Verification of a school email address does not establish authority to act for a school. An individual educator may provide Student Data only when the educator is authorized to do so under applicable law and school or district policy.
The Customer is responsible for deciding whether each SuperSchool feature is permitted, obtaining required approvals, and providing notices or obtaining consent required by law, contract, employment rules, or school policy.
3. The service
SuperSchool lets authorized educators provide selected instructional materials, student work, school resources, classroom transcripts, and data from connected tools. It uses that context to provide educator-facing assistance.
Each data source is optional. The Customer decides what to share, which integrations to connect, and whether classroom capture is enabled. Features may change as the service develops. During free or early access, SuperSchool should not be treated as a system of record or the sole copy of important materials.
4. Classroom capture
Classroom capture may be used only when the Customer has authority to record and transcribe the classroom and has completed all notices, approvals, or consent required by applicable law and policy. Accepting these terms does not itself provide permission to record another person.
The Customer must not use SuperSchool to capture counseling, health services, disciplinary meetings, legally privileged discussions, private conferences, or another setting where heightened confidentiality is expected.
Classroom audio is processed transiently to create a transcript and is not durably stored by SuperSchool. The resulting transcript is retained in the Customer's account and may contain Student Data. SuperSchool does not rely on automated de-identification as a privacy control; it protects the transcript as Customer Data.
5. Customer Data and privacy
The Customer retains all rights it already holds in the content it provides and the output generated for it. The Customer grants SuperSchool a limited right to process Customer Data only as needed to:
- provide, operate, maintain, secure, and support the service;
- respond to the Customer and its authorized users;
- verify or maintain the quality, security, and integrity of the service;
- debug errors that impair existing intended functionality;
- follow the Customer's lawful instructions; and
- comply with applicable law.
SuperSchool will not use Customer Data for advertising, sell it, or use it for general product research or the development of new products or features. SuperSchool and its AI providers will not use Customer Data to train AI models.
The Privacy Policy explains our practices. The U.S. K-12 Data Processing Addendum is incorporated into these terms and applies whenever SuperSchool processes Personal Data or Student Data for the Customer.
6. School official status
Where SuperSchool processes education records under FERPA, the Customer designates SuperSchool as a school official with a legitimate educational interest in performing the services. SuperSchool is subject to the Customer's direct control regarding the use and maintenance of those records and will use them only for the educational purpose described in these terms, the DPA, and the Customer's instructions.
SuperSchool does not obtain independent rights in education records and will not redisclose them except to contracted providers, at the Customer's direction, or as permitted by FERPA and the agreement.
7. Tool integrations
The Customer may authorize SuperSchool to connect to third-party tools. The Customer is responsible for selecting the integration and complying with the third party's terms. SuperSchool will request access only to data needed for the selected function. Disconnecting a tool ends new access but does not automatically delete data previously imported into SuperSchool; that data follows the deletion rules in the DPA.
8. Generated output and human review
AI-generated transcripts, summaries, drafts, metrics, and other output can be incomplete or wrong. An educator must review output before relying on it.
Do not use SuperSchool output as the sole basis for grading, discipline, placement, special education, employment evaluation, diagnosis, or another decision with legal or similarly significant effects.
9. Acceptable use
The Customer and its users may not:
- use the service unlawfully or without required authority, notice, or consent;
- submit content they do not have a right to use;
- use the service for covert surveillance, harassment, discrimination, or automated evaluation of a student or employee;
- upload malware or attempt to bypass security, authorization, or usage limits;
- access another user's or school's account or content without permission;
- share account credentials or allow a student to use an educator account;
- reverse engineer, resell, or use the service to build a competing product, except where applicable law does not allow that restriction; or
- use the service in a way that infringes another person's privacy or intellectual-property rights.
10. Account security
Users must provide accurate account information, protect their credentials, and promptly remove access that is no longer authorized. Notify legal@superschool.us if an account or Customer Data may have been accessed without permission.
11. Service providers
SuperSchool may use contracted service providers to perform parts of the service. The current providers and their functions are listed at /privacy/subprocessors. SuperSchool remains responsible for their processing under the DPA.
12. Feedback
If a user voluntarily provides suggestions about the service that do not include Customer Data, SuperSchool may use that feedback without restriction or compensation. Feedback does not give SuperSchool permission to use classroom content or Student Data.
13. Suspension and termination
The Customer may stop using the service and close its account at any time.
SuperSchool may suspend or terminate access when reasonably necessary to protect a person or the service, comply with law, investigate misuse, or address a material breach of these terms. Where practical, we will provide notice and an opportunity to correct the issue.
On termination, Customer Data is returned or deleted as described in the DPA. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and dispute terms.
14. Ownership
SuperSchool Inc. and its licensors own the service, software, design, branding, and related intellectual property. These terms do not transfer ownership of the service to the Customer or ownership of Customer Data to SuperSchool.
15. Warranty disclaimer
To the extent permitted by law, the service is provided "as is" and "as available." SuperSchool does not guarantee uninterrupted service or the accuracy of automated output. These disclaimers do not reduce SuperSchool's obligations under the DPA or any obligation that applicable law does not allow us to disclaim.
16. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or revenues, arising from these terms.
For a free service, each party's aggregate liability arising from these terms will not exceed $100. For a paid service, each party's aggregate liability will not exceed the fees paid or payable by the Customer for the service during the 12 months before the event giving rise to liability.
These limits do not apply to a party's fraud, willful misconduct, infringement or misappropriation of the other party's intellectual property, violation of the acceptable-use rules, or liability that cannot be limited by law. A separate school agreement may establish different limits.
17. Governing law and disputes
These terms are governed by Colorado law, without regard to conflict-of-law rules. State and federal courts located in Colorado have jurisdiction, unless applicable law or a separate school agreement requires otherwise.
Before filing a claim, each party will give the other written notice and make a good-faith effort to resolve the dispute for at least 30 days. This section does not prevent either party from seeking urgent injunctive relief.
18. Changes
We may update these terms as the service develops. We will provide advance notice of a material change. A change that materially expands processing of Student Data will not apply without the notice, authorization, or agreement required by the DPA, a separate school agreement, or applicable law.
19. General
Neither party may assign these terms without the other's consent, except in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets, provided the assignee agrees to these terms. The parties are independent contractors. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
These terms, the DPA, the Privacy Policy, and any applicable signed school agreement are the complete agreement about the service and replace prior discussions on that subject. A signed school agreement controls over these terms, followed by the DPA, then these terms and the Privacy Policy.
